Welcome to Black Mamba Entertainment. These Terms and Conditions (“Terms”) govern your access to and use of blackmambaentertainment.com (the “Website”), your purchase or use of event tickets, and your attendance at events promoted, produced, organized, or ticketed by Black Mamba Entertainment.

In these Terms, “Black Mamba Entertainment,” “we,” “us,” and “our” refer to Black Mamba Entertainment. “You” and “your” refer to the Website visitor, ticket purchaser, ticket holder, event attendee, or other person using our services.

By accessing the Website, purchasing a ticket, submitting an order, or attending one of our events, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website or purchase tickets through it.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase tickets through the Website.

A parent or legal guardian must make purchases for anyone under 18. The parent or guardian is responsible for the minor’s conduct and compliance with these Terms and applicable event rules.

Certain events may have age restrictions, including events limited to guests who are 18 or 21 years of age or older. Age requirements will be stated on the applicable event page, ticket, advertisement, or venue notice.

2. Event Information

We make reasonable efforts to provide accurate information about each event, including:

  • Event date and scheduled time.
  • Venue and location.
  • Performing artists or entertainment.
  • Age restrictions.
  • Ticket categories.
  • Seating or table arrangements.
  • Prices and applicable charges.
  • Entry requirements.

Event details may change after tickets are sold. Performers, supporting artists, DJs, musicians, schedules, seating arrangements, menus, sponsors, production elements, and event activities may be modified without notice when reasonably necessary.

Unless otherwise announced, a change involving a supporting performer, musician, DJ, schedule, menu, production element, or event activity does not automatically entitle the ticket holder to a refund.

3. Ticket Prices and Fees

The prominently displayed ticket price will include all mandatory charges and fees that we know about and can calculate at the time the price is displayed.

Government taxes, shipping charges, and genuinely optional products or services may be displayed separately where permitted. Before requesting payment, we will display the final payment amount, including applicable taxes and any optional items you selected.

Prices are stated in U.S. dollars unless otherwise indicated.

Ticket prices may change at any time before purchase based on availability, ticket category, seating location, promotional periods, or event demand. A price change after you complete a confirmed purchase will not affect that completed order.

4. Ticket Orders

Submitting an order does not guarantee acceptance. An order is complete only after:

  • Payment has been successfully processed.
  • You receive an order or ticket confirmation.
  • The order has not been canceled because of an error, suspected fraud, unauthorized purchase, or lack of availability.

You are responsible for reviewing all order information before completing your purchase, including:

  • Event name.
  • Event date.
  • Venue.
  • Ticket quantity.
  • Seat or table selection.
  • Purchaser name.
  • Email address.
  • Telephone number.
  • Total payment amount.

Black Mamba Entertainment is not responsible for problems caused by incorrect information submitted by the purchaser.

We may impose ticket-purchase limits. Orders exceeding announced limits may be canceled, including multiple orders made through different names, email addresses, payment methods, accounts, or devices when we reasonably believe they were made to avoid a purchase limit.

5. Payment Authorization

By submitting payment information, you represent that:

  • You are authorized to use the selected payment method.
  • The billing information you provide is accurate.
  • You authorize the total amount displayed at checkout to be charged.
  • You are responsible for any charges authorized through your payment method.

Payments may be processed by a third-party payment processor. We may not directly receive or store your complete payment-card information.

If a payment is declined, reversed, disputed, or identified as potentially fraudulent, we may cancel the related order and invalidate the tickets.

Please contact us before initiating a payment dispute so that we have an opportunity to investigate and resolve the issue. This does not limit any rights you may have under applicable law or through your payment-card issuer.

6. Electronic Tickets and Confirmation

Tickets and order confirmations may be delivered electronically to the email address or telephone number provided during checkout.

You are responsible for:

  • Providing accurate contact information.
  • Checking your email inbox and spam or junk folder.
  • Keeping your ticket or confirmation secure.
  • Bringing the required ticket, confirmation, identification, or payment card to the event.

A ticket may be accepted through a barcode, QR code, confirmation number, electronic guest list, purchaser name, or another method announced for the event.

Only the first valid presentation of a ticket or ticket code may be admitted. Duplicated, copied, altered, counterfeit, previously used, refunded, canceled, or fraudulently obtained tickets are invalid.

7. Ticket Transfers and Resale

Tickets may be transferred to another person unless the event page or ticket states that the ticket is nontransferable.

The original purchaser is responsible for providing the recipient with accurate event information and these Terms.

Unauthorized commercial resale, fraudulent resale, speculative ticket sales, counterfeit tickets, and resale in violation of applicable law are prohibited.

Black Mamba Entertainment is not responsible for tickets purchased from an unauthorized third party. We cannot guarantee the validity of a ticket that was not purchased directly from us or an authorized ticket seller.

We may cancel tickets reasonably believed to have been obtained through fraud, automated purchasing systems, unauthorized resale, or other prohibited activity.

8. Seating and Table Reservations

Seating charts, table diagrams, floor plans, and venue illustrations are provided for general reference. Actual placement, spacing, sightlines, table numbers, entrances, exits, stage configuration, and venue layout may differ.

We may relocate a guest to a reasonably comparable seat or table when necessary because of:

  • Production requirements.
  • Safety concerns.
  • Venue changes.
  • Accessibility needs.
  • Seating errors.
  • Obstructed views.
  • Changes to the floor plan.
  • Circumstances beyond our reasonable control.

Purchasing one or more individual seats at a table does not reserve the entire table unless the complete table was purchased or Black Mamba Entertainment expressly confirmed an exclusive full-table reservation.

Other ticket holders may purchase the remaining seats at the same table.

Guests wishing to sit together should purchase their tickets in the same order whenever possible. We do not guarantee that separate orders will be seated together.

9. Refund Policy

Unless otherwise stated on the applicable event page, all ticket sales are final. Refunds, exchanges, credits, and ticket upgrades are not provided because of:

  • A change in personal plans.
  • Illness or inability to attend.
  • Travel delays.
  • Transportation or parking difficulties.
  • Failure to meet an event’s age or identification requirements.
  • Failure to arrive before entry closes.
  • Removal from an event for violating venue or event rules.
  • A change involving a supporting performer, DJ, musician, menu, schedule, or production element.
  • Dissatisfaction with a seat or table that is substantially consistent with the purchased ticket category.
  • Tickets purchased from an unauthorized third party.

Nothing in this section limits a refund or remedy required by applicable law.

Canceled Events

If an event is canceled and not rescheduled, the original purchaser will be eligible for a refund of the ticket amount paid directly to Black Mamba Entertainment, including mandatory ticket fees collected by us.

Unless required by law, refunds do not include:

  • Travel expenses.
  • Hotel costs.
  • Transportation or parking costs.
  • Clothing or personal expenses.
  • Optional products or add-ons already provided.
  • Charges paid to an unauthorized ticket seller.
  • Other indirect or consequential expenses.

Refunds will generally be returned to the original payment method. Processing times may depend on the financial institution or payment processor.

Postponed or Rescheduled Events

If an event is postponed or rescheduled, the original ticket will ordinarily remain valid for the new date.

We will announce any refund or credit options and applicable request deadline when the new date is confirmed. Failure to request an available refund within the announced period may result in the ticket remaining valid only for the rescheduled event.

Artist or Program Changes

Unless otherwise stated, an event is not considered canceled merely because of a change to a supporting performer, musician, DJ, host, schedule, event program, menu, sponsor, or production element.

If the event continues on the scheduled or rescheduled date, refunds will not ordinarily be issued solely because of such a change.

10. Event Admission

A ticket is a revocable license permitting the ticket holder to enter the applicable event, subject to these Terms and all venue rules.

Admission may require:

  • A valid ticket or confirmation.
  • Government-issued photo identification.
  • Proof of age.
  • The payment card used for purchase.
  • Compliance with security procedures.
  • Compliance with dress codes or other requirements disclosed for the event.

Entry may be delayed or denied when a ticket is invalid, duplicated, canceled, refunded, altered, counterfeit, previously used, or connected to suspected fraud.

Late entry or reentry is subject to the event and venue rules. Reentry may not be permitted.

11. Age Restrictions and Alcohol

You are responsible for reviewing and complying with the age requirement for the event.

For events serving alcohol:

  • Alcohol may be purchased or consumed only by guests who are at least 21 years old and present valid government-issued identification.
  • Alcohol service is subject to venue policies and applicable law.
  • Alcohol service may be refused or discontinued at any time.
  • Guests must drink responsibly.
  • Guests must not provide alcohol to anyone under 21.
  • Guests must not drive while impaired.

Black Mamba Entertainment does not guarantee that alcohol will be available at every event, even when alcohol service was advertised or anticipated.

12. Guest Conduct

Guests must behave safely and respectfully toward performers, staff, venue personnel, vendors, and other attendees.

Prohibited conduct includes:

  • Fighting, threatening, harassing, or abusive behavior.
  • Discrimination or targeted harassment.
  • Excessive intoxication.
  • Illegal drug possession or use.
  • Possession of weapons or prohibited items.
  • Damaging or stealing property.
  • Interfering with performers, staff, security, or event operations.
  • Entering restricted or backstage areas.
  • Blocking aisles, exits, or emergency access.
  • Throwing objects.
  • Unauthorized commercial activity or solicitation.
  • Creating a dangerous, disruptive, or unsanitary condition.
  • Violating applicable laws, venue rules, or staff instructions.

A guest who violates these requirements may be denied entry or removed without a refund and may be reported to law enforcement.

13. Security and Prohibited Items

Guests and their belongings may be subject to reasonable security screening as permitted by law and venue policy.

Prohibited items may include:

  • Firearms and other weapons.
  • Illegal drugs.
  • Outside alcohol.
  • Explosives or fireworks.
  • Dangerous objects.
  • Professional recording equipment without authorization.
  • Large bags or containers.
  • Laser devices.
  • Items that obstruct views or interfere with the event.
  • Any other item prohibited by the venue or event organizer.

A current prohibited-items list may be announced before the event or posted by the venue. Refusal to comply with lawful security procedures may result in denied admission without a refund.

14. Accessibility

Guests requiring a reasonable accommodation should contact us as early as possible before the event.

We will make reasonable efforts to coordinate accessible seating and accommodations with the venue, subject to availability, venue capabilities, and applicable law.

15. Health and Safety

Attendance at a live event involves ordinary risks associated with crowds, loud music, flashing or moving lights, amplified sound, dancing, food and beverages, alcohol, stairs, temporary equipment, and interaction with other attendees.

Guests are responsible for assessing whether an event is appropriate for them and for following posted warnings, venue instructions, emergency procedures, and applicable health or safety requirements.

Guests who experience a medical emergency should immediately notify event or venue personnel.

16. Photography, Video, and Recording

Events may be photographed, filmed, livestreamed, or otherwise recorded by Black Mamba Entertainment, performers, venues, media representatives, sponsors, vendors, or other attendees.

By entering an event, you acknowledge that you may appear incidentally in photographs, video, audio recordings, livestreams, or other event coverage.

To the extent permitted by law, you authorize Black Mamba Entertainment to use incidental event images or recordings in which you appear for legitimate promotional, archival, advertising, social-media, and business purposes without additional compensation.

A parent or legal guardian attending with a minor is responsible for the minor’s participation and any consent required by law.

Unauthorized professional photography, livestreaming, broadcasting, or commercial recording may be prohibited. Personal recording is subject to the artist’s, venue’s, and event’s rules.

17. Website Use

You may use the Website only for lawful, personal, and noncommercial purposes.

You may not:

  • Attempt to gain unauthorized access to the Website or its systems.
  • Interfere with Website security or operation.
  • Introduce viruses, malicious code, or harmful technology.
  • Use bots, scrapers, automated systems, or purchasing software without written authorization.

Where liability cannot legally be excluded, our total liability relating to a ticket purchase will not exceed the amount paid directly to Black Mamba Entertainment for the ticket giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, gross negligence, or other conduct for which limitation is prohibited by law.

23. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Black Mamba Entertainment and its owners, employees, contractors, representatives, and partners from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Your unlawful use of the Website.
  • Your violation of these Terms.
  • Your fraudulent or unauthorized ticket transaction.
  • Your misconduct at an event.
  • Your violation of another person’s rights.
  • Content or information you submit.

This provision does not require you to indemnify any party for that party’s own fraud, willful misconduct, gross negligence, or conduct for which indemnification is prohibited by law.

Black Mamba Entertainment is not responsible for delays, modifications, postponements, relocations, or cancellations caused by circumstances beyond our reasonable control, including:

  • Fire or flood.
  • Power or equipment failure.
  • Transportation disruption.
  • Labor disputes.
  • Government orders.
  • Public-health emergencies.
  • Civil unrest.
  • Security threats.
  • Performer illness, injury, or travel disruption.
  • Venue closure or unavailability.
  • Other emergencies or force-majeure events.

Any refund or credit resulting from such circumstances will be governed by the applicable event announcement, these Terms, and applicable law.

25. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Unless prohibited by applicable law, any legal action arising from these Terms, the Website, a ticket purchase, or an event must be filed in a court with appropriate jurisdiction in Stanislaus County, California.

Nothing in this section prevents either party from bringing an eligible claim in small-claims court or exercising a right that cannot legally be waived.

26. Changes to These Terms

We may update these Terms periodically.

Updated Terms will be posted on the Website with a revised “Last Updated” date. Changes apply prospectively from the effective date of the updated Terms.

The Terms in effect when you purchase a ticket will generally govern that purchase, except when a change is required by law or is reasonably necessary to address safety, fraud, security, or operational concerns.

27. Severability

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the greatest extent permitted by law or removed as necessary. The remaining provisions will remain in effect.

28. No Waiver

Failure to enforce any provision of these Terms does not waive our right to enforce that provision or another provision later.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written permission.

We may assign these Terms as part of a business reorganization, merger, sale, transfer of assets, or similar transaction, subject to applicable law.

30. Entire Agreement

These Terms, the Privacy Policy, the applicable event page, the ticket description, and any additional terms presented during checkout constitute the entire agreement between you and Black Mamba Entertainment concerning the Website and ticket purchase.

If event-specific terms conflict with these general Terms, the event-specific terms will control for that particular event.

31.Black Mamba Entertainment SMS Terms

1. When you opt-in to Black Mamba Entertainment, you agree to receive [use case] text messages related to [details of use case].

2. You can cancel the SMS service at any time. Just text “STOP”. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed.
